1. Acceptance of Terms

By accessing or using the House of Lotus AI-Native Coffee Sourcing Platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and House of Lotus Canada ("House of Lotus," "we," "us," or "our").

2. Accounts & Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use. House of Lotus reserves the right to suspend or terminate accounts that violate these Terms.

3. Platform Use

You agree to use the Platform only for lawful business purposes related to coffee sourcing, procurement, and import. You agree not to:

• Use the Platform for any purpose that is unlawful or prohibited by these Terms
• Attempt to gain unauthorized access to any portion of the Platform
• Use automated tools (bots, scrapers) to extract data without written consent
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the Platform's operation or servers
• Reverse engineer, decompile, or disassemble any aspect of the Platform

4. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, audio, software, data compilations, and the design, selection, and arrangement thereof — are owned by House of Lotus, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws. The House of Lotus name, logo, and all related marks are trademarks of House of Lotus Canada. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.

5. Sourcing Requests & Transactions

The Platform facilitates connections between coffee buyers and suppliers. House of Lotus acts as an intermediary platform provider and is not a party to any transaction between buyers and suppliers. We do not guarantee the quality, availability, or delivery of any coffee or other products listed on the Platform. All sourcing requests, orders, and agreements are solely between the buyer and the respective supplier. We strongly recommend conducting independent due diligence before entering into any transaction.

6. Supplier Data & Trust Profiles

Trust profiles, verification statuses, and supplier information displayed on the Platform are based on available evidence and are provided for informational purposes only. They do not constitute endorsements, warranties, or guarantees of any supplier's performance, quality, or reliability. House of Lotus makes no representation regarding the accuracy, completeness, or timeliness of trust profile data. Public numerical trust scores will be made available once sufficient verified transactional history exists.

7. AI-Powered Features

The Platform incorporates artificial intelligence and machine learning technologies for recommendations, market insights, compliance guidance, and conversational assistance. AI-generated content is provided for informational purposes and should not be relied upon as professional advice (legal, financial, regulatory, or otherwise). You should consult qualified professionals for decisions involving regulatory compliance, import regulations, or financial commitments.

8. Demonstration Data Disclaimer

Market data, pricing information, logistics estimates, and some supplier profiles displayed on the Platform may be illustrative demonstration data. Such data is clearly marked and should not be used for actual purchasing, trading, or regulatory decisions. House of Lotus is not liable for any decisions made based on illustrative data.

9. Limitation of Liability

To the maximum extent permitted by applicable law, House of Lotus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to House of Lotus in the twelve (12) months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of the province of Ontario, Canada.

11. MVP & Demonstration Disclaimers

The Platform is currently in a minimum viable product (MVP) phase. Users acknowledge and agree to the following:

• Supplier Availability: Supplier profiles and availability shown on the Platform are subject to confirmation. Listing does not guarantee that a supplier can fulfil a specific request at a given time.
• Indicative Pricing: Pricing information displayed on the Platform may be indicative and is not binding. Actual pricing is determined through direct negotiation between buyer and supplier.
• Certification Verification: Certifications displayed (Organic, Fair Trade, etc.) require independent evidence verification. House of Lotus does not independently audit or certify supplier claims.
• AI-Generated Information: AI-generated recommendations, insights, and concierge responses are provided for convenience only and require human review before making business decisions.
• No Outcome Guarantee: House of Lotus does not guarantee a successful sourcing outcome. The Platform facilitates connections; final agreements are solely between buyer and supplier.
• Separate Arrangements: During the MVP phase, contracts, payments, shipping logistics, and customs clearance are handled under separate arrangements between the transacting parties, not through the Platform.
• Demonstration Data: Demonstration data, including sample supplier profiles, pricing, and market information, must not be used for actual purchasing, trading, or regulatory decisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
